1. Agreement to Terms
By accessing or using the websites, products, and services ("Services") provided by THE XTRACODE DOO BEOGRAD - ZVEZDARA ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
These Terms apply to all visitors, users, and customers of our Services, including but not limited to thextracode.com, XC Scribe, XC Monitor, XC Chatbot, XC Business AI, and XC Phone.
2. Description of Services
THE XTRACODE provides software products and custom development services, including:
- XC Scribe — content automation platform
- XC Monitor — infrastructure monitoring
- XC Chatbot — customer support chat with AI capabilities
- XC Business AI — AI-powered business assistant
- XC Phone — cloud business phone system
- Custom development — bespoke software solutions
3. User Accounts
Some Services require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malware, spam, or other harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our Services
- Use our Services for any purpose that is unlawful or prohibited by these Terms
5. Intellectual Property
All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, software, and source code — are the exclusive property of THE XTRACODE and are protected by international copyright, trademark, and other intellectual property laws.
For custom development work: intellectual property rights transfer to the client upon full payment, unless otherwise specified in the project agreement.
6. Payment Terms
For paid Services:
- Fees are as stated in your service agreement or subscription plan
- Payments are due according to the agreed schedule (typically milestone-based for custom projects)
- All prices are in EUR unless otherwise specified
- Late payments may incur interest at the rate permitted by applicable law
- We reserve the right to suspend Services for non-payment after reasonable notice
7. Service Level and Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend Services for maintenance, updates, or circumstances beyond our control.
Specific service level agreements (SLAs), where applicable, are defined in individual service contracts.
8. Data Processing
Our handling of personal data is governed by our Privacy Policy. By using our Services, you also agree to the terms of our Privacy Policy.
For Services that involve processing your customers' data (such as XC Chatbot or XC Business AI), a separate Data Processing Agreement (DPA) may apply.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of data, profits, revenue, or business opportunities
10. Indemnification
You agree to indemnify and hold harmless THE XTRACODE, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services or violation of these Terms.
11. Termination
Either party may terminate the use of Services:
- Subscription services: by canceling before the next billing cycle
- Custom project agreements: as specified in the project contract
- We may terminate or suspend access immediately for violations of these Terms
Upon termination, we will make your data available for export for a reasonable period (minimum 30 days), after which it may be deleted.
12. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes by email or prominent notice on our website. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Serbia. Any disputes shall be resolved by the competent court in Belgrade, Serbia, unless otherwise agreed in writing.
For EU/EEA customers: nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
